Skylight Financial®, Inc. is founded in Delaware as an Internet-based financial services company. The
primary mission is to provide accounts to individuals who cannot, or choose not,
to open a traditional bank account. The initial purpose was to support the US
government is its efforts to save money by increasing the number of federal
benefits recipients receiving benefits through direct deposit. |

Based on changes
in federal regulations, Skylight recognizes unique opportunity to serve both the
entire self-banked sector of the population and corporations whose workforce
includes a significant proportion of self-banked individuals.

Skylight celebrates its first anniversary. |
| May 1999 |
Skylight wins its first corporate client. |
| October 2000 |
Skylight forms a
relationship with U.S. Bank, one of the top 10 banking institutions in the U.S.
As a result of this relationship, Skylight expands its customer service
capabilities to include access to 5,000 ATMs and 2,200 banking branch locations
in the U.S. Bank network. |
| August 2001 |
O.G. Greene joins Skylight in preparation for an outside firm to provide funding intended to
move Skylight into a leadership position within the prepaid card industry. |
| September 2002 |
Skylight secures
additional funding allowing for expansion of service capabilities and target
market focus. |
| February 2003 |
Skylight
completes a rebranding effort resulting in a new corporate identity and primary
product, the Skylight Debit Card Account. |
| December 2003 |
Skylight signs
agreement with SunTrust, another top 10 banking institution in the U.S. This
relationship provides SunTrust with a paycard product and offers Skylight
increased market exposure. |
| April 2004 |
Skylight signs
agreement with Capital One. This agreement provides Capital One with a paycard
product to introduce to corporate customers. |
| August 2004 |
Skylight offers a
Visa-branded card through the US Bank partnership.

| April 2006 |
Skylight offers a
Visa-branded card through the SunTrust partnership.

| July 2007 |
Skylight is
acquired by JLL. The relationship provides Skylight with additional reload
locations at another of JLL’s subsidiaries, ACE Cash Express.

| June 2008 |
Skylight announced merger with NetSpend.

In October, 2000, Skylight Financial partnered with U.S. Bank.
Through this partnership Skylight provides accounts as an alternative for
individuals in U.S. Bank branches, as well as sells to U.S. Bank corporate
customers via their Treasury Management and Relationship Management
organizations.

In October, 2004, Skylight
Financial partnered with SunTrust, one of the nation’s largest commercial
banking organizations. Through this partnership, Skylight offers SunTrust
corporate clients the Skylight suite of services to meet the financial goals of
both the corporate client and their employees. SunTrust is a federally
